CoinlySwap Individual Contributor License Agreement

This agreement (the “CLA”) clarifies the intellectual property terms that apply to contributions made to the CoinlySwap project. It exists to protect both the project and the contributor by setting clear, predictable expectations around copyright and patent licensing.
Signing this CLA does not take away your right to use your own contributions elsewhere — you retain full ownership of the code you write. It simply grants CoinlySwap the licenses it needs to include your work in the project.
Definitions
The capitalized terms used in this CLA carry the specific meanings below.
- “You” (or “Contributor”) means the individual submitting a Contribution to the CoinlySwap project, acting on their own behalf as the author of that Contribution. If You are submitting on behalf of an employer or other legal entity, You confirm that You are authorized to bind that entity to the terms of this CLA.
- “Contribution” means any original work of authorship — including code, documentation, configuration, designs, and accompanying modifications or additions — that You intentionally submit to the CoinlySwap project for inclusion in, or for the purposes of supporting, any product or repository owned or managed by CoinlySwap.
- “Submitted” means any form of electronic, verbal, or written communication sent to CoinlySwap or its representatives, including but not limited to GitHub pull requests, issue trackers, mailing lists, source-code commit messages, discussion threads, and direct electronic communications. The submission explicitly excludes anything marked per Section 05.
- “CoinlySwap” means the CoinlySwap project, including the maintainers, the legal entity (if any) acting on its behalf, and the official repositories hosted under coinlyswap.com or its associated GitHub organization.
Grant of Copyright License
Subject to the terms of this CLA, You hereby grant to CoinlySwap and to recipients of software distributed by CoinlySwap a license to Your Contributions that is:
- Perpetual — not limited in duration.
- Worldwide — valid in every jurisdiction.
- Non-exclusive — You may also license the same work to others.
- No-charge and royalty-free — no payment is owed to You by CoinlySwap or downstream users.
- Irrevocable — once granted, this license cannot be withdrawn.
Under this license, CoinlySwap may reproduce, prepare derivative works of, publicly display, publicly perform, sublicense, and distribute Your Contributions and any derivative works in source or object form.
You retain all ownership of Your Contributions and remain free to use, modify, and license them outside of this project on whatever terms You choose.
Grant of Patent License
Subject to the terms of this CLA, You hereby grant to CoinlySwap and to recipients of software distributed by CoinlySwap a perpetual, worldwide, non-exclusive, no-charge, royalty-free, irrevocable patent license to make, have made, use, offer to sell, sell, import, and otherwise transfer the work covered by Your Contribution.
This patent license applies only to those patent claims licensable by You that are necessarily infringed by Your Contribution alone or by the combination of Your Contribution with the project to which it was submitted.
If any entity (including You) institutes patent litigation against You, CoinlySwap, or any other contributor — whether by direct, induced, or contributory infringement claim — alleging that Your Contribution or the project itself constitutes patent infringement, then any patent licenses granted to that entity under this CLA terminate as of the date such litigation is filed.
Contributor Representations
By submitting a Contribution, You represent and warrant that:
- You are legally entitled to grant the licenses set out in Sections 02 and 03.
- Each Contribution is Your own original creation, or You have the necessary rights and permissions to submit it under the terms of this CLA.
- Your Contribution does not knowingly include third-party material that is incompatible with the project's open-source license unless You have flagged it clearly to the maintainers and identified its source and license.
- If Your employer or another party has rights to intellectual property You create that includes Your Contribution, You have received written permission to submit it under this CLA, or that employer has waived such rights for the Contribution.
You are not expected to provide support for Your Contribution, except to the extent You voluntarily choose to. Contributions are provided on an “as-is” basis, without warranties of any kind unless required by applicable law.
Submissions Not Covered
Any communication that is conspicuously marked in writing as Not a Contribution — for example, in a pull-request description, commit footer, or accompanying message — is excluded from the scope of this CLA. No licenses are granted to CoinlySwap with respect to such communications.
This carve-out exists so You can share informal feedback, brainstorming notes, draft proposals, or general discussion without inadvertently licensing every message You write to the project.
Tip: when in doubt, add a single line such as Not a Contribution — discussion only. to the top of Your message to keep the boundary clear.
By opening a pull request or otherwise Submitting a Contribution to CoinlySwap, You acknowledge that You have read, understood, and agree to be bound by the terms of this Individual Contributor License Agreement.
